  1. Who We Are

Projenics, LLC is a limited liability company organized under the laws of the State of Minnesota. Projenics, LLC owns and operates the MajorMentor.com website and related services (“Website”).

  1. Definitions
  • “Company,” “we,” “us,” and “our” mean Projenics, LLC.
  • “Website” means www.majormentor.com and related mobile platforms.
  • “User,” “you,” and “your” refer to any individual who visits, registers, or uses the Website.
  • “Content” includes both Company Content and User Content.
  • “Company Content” means any software, video, article, audio, image, or other materials created by us or our partners.
  • “User Content” means any content submitted by Users.
  • “Services” refers to access to the Website, Content, and related functionality.
  1. Account Types

We offer several types of accounts:

  • – Parent Account: Paid by the parent; both parent and student receive access.
  • – Student Account: Paid for by the parent; the student receives access.
  • – Student Only Account: Paid by the student; only the student receives access.
  • – Gift Giver Account: Gift giver pays; has no access to paid content.
  • – Gift Recipient Account: Gift recipient receives access; paid for by a Gift Giver.

All users may access certain free resources.

  1. Eligibility

You must be at least 13 years old to use the Services. If you are under 18, you must obtain parental or legal guardian consent before purchasing a subscription. By purchasing, you represent that you have received such consent.

  1. Subscription Terms

Subscriptions may be purchased monthly or yearly. You may cancel at any time to stop future billing. You may request a refund within 7 days of purchase only if you have not viewed any videos during the subscription period.

  1. Communication Consent

By providing your phone number and/or email, you consent to receive communications from us, including texts if a phone number is provided. You may opt out of texts at any time.

  1. Purpose

We own and operate the mobile enabled online web-based portal known as “www.majormentor.com.” We offer Services and Content to Users. Content may include utilities, videos, interviews, video conference and video chat. Services may include online chat, alerts and the ability of Users to upload their own Content and download the Content of others. We reserve the right to add, change and remove Services and Content at our discretion.

  1. Licenses and Non-Commercial Use

We grant you a non-exclusive, nontransferable license to use, display, and perform any Company Content for personal, non-commercial use only on your computer(s) and/or one mobile phone owned by you. This license terminates immediately upon termination of the Services. You grant us the perpetual, non-exclusive right to use, copy, modify, distribute, display and perform your User Content on the Website (and in promotions of the Website) without restriction and to grant such rights to our licensees, successors and assigns. This grant includes a grant of a license to any necessary copyrights and a release of any necessary privacy and publicity rights.

  1. Password

You will create a password to allow you to access the Services. You will not share your password with any other party. You will be responsible for any use of your password by any other party.

  1. Proprietary Rights Owned by Us

You acknowledge that we, or our suppliers, own all proprietary rights in the Website and the Company Content including, but not limited to, any patents, trademarks, service marks, and copyrights.

You represent and warrant to us that you will not upload any Content to the Website unless you are the owner of all proprietary rights in that Content and have obtained releases for all related privacy and publicity rights.

We offer a separate, opt-in mailing list with information on the college admissions process.

  • Subscription to this list is voluntary.
  • Registered users are not automatically enrolled.
  • You may choose to receive updates via email or text.
  • You may unsubscribe at any time.
  1. Use Restrictions

You agree not to:

  • Share your password or account access.
  • You will not reprint, republish or distribute in any way any information or materials found on the Website;
  • You will not use any of the information on the Website for sending emails or for solicitation purposes or for any other purposes involving solicitation in any way;
  • You will not provide to us or post on the Website any information that is not correct, such as an incorrect name, address, email address, or any other incorrect information;
  • You will not publish any material that contains sexually related text, photographs or other content, or content that is defamatory, obscene, indecent, threatening, abusive, or hateful;
  • You will not attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way used or downloaded from the Website;
  • You will not post any materials on our Website in violation of any other party’s rights, including, but not limited to, copyrights or privacy and publicity rights;
  • You will access, download from and upload to the Website and use the Services only for your own personal non-commercial use and not for the benefit of any other party or for an organization or other entity or to set up a competing business; and
  • You will follow our instructions regarding your use of the Website including, but not limited to, any instructions we provide to you regarding postings to the Website.
  • Download, screen record, copy, distribute, or post our videos or articles elsewhere.
  • Share our Content with non-subscribers.

All videos, articles, and other proprietary Content are protected by copyright and owned by MajorMentor.

  1. User Content

You must own all rights to any User Content you upload. You grant us a perpetual, non-exclusive license to use and display your User Content on the Website or in promotional materials.

We collect the student’s current year in school from all users to improve content recommendations and services.

We collect and use personal data solely for the purpose of delivering our Services and improving user experience.

We do not sell or share user data with any third party for marketing purposes.

We use trusted third-party services including:

  • – Stripe (payment processing)
  • – Mailchimp (email communication)
  • – Twilio (text messaging)
  • – Google Analytics and Meta Analytics and LinkedIn Analytics (website analytics)
  1. Students under 18

You must be at least 13 years old to create an account. Students 13-17 years of age may only purchase a subscription with the permission of a parent or guardian.

  1. Informational Content Disclaimer

Any articles, emails, or messages related to the college admissions process are provided as general guidance only. They are not intended to serve as professional advice or a definitive authority.

  1. Termination

We reserve the right to suspend or terminate accounts at our discretion, including for violations of these Terms.

We are not responsible for User Content or third-party links.

We are not liable for any technical issues, including delays, outages, or interruptions in service.

All Services are provided “AS IS” with no warranties, including implied warranties of merchantability or fitness for a particular purpose.

  1. Limitation of Liability

YOU ASSUME FULL RESPONSIBILITY AND RISK OF LOSS RESULTING FROM YOUR USE OF THE WEBSITE INCLUDING ANY DOWNLOADS FROM THE WEBSITE. UNDER NO CIRCUMSTANCES SHALL WE OR ANY OF OUR EMPLOYEES OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES EVEN IF WE OR ANY OF OUR EMPLOYEES OR REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU HEREBY RELEASE US AND OUR EMPLOYEES AND REPRESENTATIVES FROM ANY AND ALL OBLIGATIONS, LIABILITIES, AND CLAIMS.

You acknowledge that we have not reviewed the content of all sites linked to or from the Website and that we are not responsible for the content of any of those sites and do not take responsibility for them or endorse them.

All disputes shall be resolved through binding individual arbitration in Minneapolis, Minnesota.

These Terms are governed by the laws of the State of Minnesota. Venue for any permitted legal disputes shall be in Hennepin County, Minnesota.

We are not liable for service delays or failures caused by circumstances beyond our control, including natural disasters, war, internet outages, or third-party service disruptions.

You agree to indemnify and hold us, and our directors, officers, employees, and representatives harmless from any and all losses (including, but not limited to, attorney fees) resulting from any claims that you assert, or may assert, based on or relating to your use, or the use of any individual using your password, of this Website. You further agree to indemnify and hold us, and our directors, officers, employees, and representatives harmless from any and all losses resulting from claims of third parties (including, but not limited to, attorney fees) that result in whole or in part from violations by you, or any individual using your password, of any of the terms of this Agreement.
