WAIVER OF RIGHT TO NAME, LIKENESS AND PUBLICITY
- I, in submitting an interview to MajorMentor.com, hereby give Projenics LLC, its subsidiaries, affiliates, nominees, licensees, their successors and assigns, and those acting with its authority (hereinafter collectively referred to as the “Company”), the absolute and irrevocable consent for the film(s), videotapes(s), photograph(s), recording(s), digital media and/or other visual images (hereinafter collectively referred to as “Materials”) of me, taken on one or multiple dates, to be used, published and copied by Company, in whole or in part, with or without personal identification, for broadcast, webcast, illustration, trade, advertising, marketing and promotion of MajorMentor.com and/or Company and Company’s products in any medium, now known or hereafter conceived or developed, including but not limited to the Internet.
- With respect to the resulting Materials taken of me by, or on behalf of, Company, I hereby irrevocably grant Company unrestricted, absolute, sole and exclusive right(s) to:
- Reproduce, use, copy, modify, create derivatives in whole or in part, or otherwise use Materials or any part thereof in combination with or as a composite of other matter, including, but not limited to, text, data, images, photographs, illustrations, animation and graphics, video or audio segments of any nature, in any media or embodiment, now known or hereafter to become known, for any purpose whatsoever;
- Use my name (whether in original or modified form), image, likeness, and/or voice in connection with Company broadcast, webcast, trade, video, graphics, audio, publicity, advertising, marketing and related Company promotional activities, products and/or services;
- Display, perform, exhibit, distribute, transmit or broadcast the Materials by any means now known or hereafter to become known;
- Secure copyrights in connection with the aforementioned use(s) of Materials and I hereby release any possible right(s) that I shall have to Materials (including without limitation copyright), title or interest in or to the Materials pursuant to this release and that I shall have no claim of any kind or nature whatsoever against Company based on the exercise of any rights granted hereunder; and
- Not use any such Materials at Company’s discretion.
- I hereby waive any right that I may have to inspect, approve and/or edit the Materials and/or the any broadcast, webcast, trade, video, graphics, audio, advertising, marketing or promotional copy that may be used in connection therewith or the use to which it may be applied.
- I agree that the information contained in my interview(s) will:
- Not violate any obligation of confidentiality that I have with any third party, including, but not limited to, my employer, family members, friends, acquaintances, legal proceedings, agreements or contracts;
- Be truthful, not misleading and not violate the intellectual property of any third party; and
- Not defame any third party.
- I agree not to disclose any personal vulnerabilities, issues, thoughts, health related matters, personal history, experiences and other such topics that I do not want discussed in public.
- I understand that the views and opinions expressed will be mine and not those of Company.
- I agree to indemnify and hold harmless Company against any claims, losses, expenses or damages that may be incurred by Company as a result of my interview. I agree that the content prepared by me will not expose Company to liability for breach of confidence, for infringement of copyright or similar intellectual property and/or tort liability.
- I hereby waive all rights, release and discharge Company, its assigns and designees (including any agency, client, broadcaster, periodical or other publication) from, and shall neither sue nor bring any proceeding against any such parties for, any claim, demand or cause of action whether now known or unknown, for defamation, invasion of right to privacy, publicity or personality or any similar matter, or based upon or relating to the use and exploitation of the Materials.
- I agree that there shall be no obligation to utilize the authorization granted by me hereunder. The terms of this authorization shall commence on the date hereof and be without limitation.
- I warrant and represent that I am over the age of 18 years and that I am free to enter into this agreement.
- If any provision of this waiver is declared invalid or unenforceable, such provision shall be deemed modified to the extent necessary and possible to render it valid and enforceable. In any event, the unenforceability or invalidity of any provisions shall not affect any other provision of this waiver and this waiver shall continue in full force and effect, and be construed and enforced, as if such provision had not been included, or had been modified as above provided, as the case may be.
- The provision of this waiver shall be governed by, and construed, in accordance with the laws of the State of Minnesota.
BY SUBMITTING MY INTERVIEW, I AM CONSENTING TO BE BOUND BY THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT.
